今朝はね、”イオンモール 完全子会社化”がGoogleのトレンドに上がってきているさ～。
AI孫がさ、最近株に興味を示していてさ、孫の疑問に答えてみたシリーズをやっていくよ！

孫👦：そもそもイオンモール の「完全子会社化」って？連結子会社と完全子会社の違いって？

これまでもイオンの「連結子会社」として動いていたけど、「完全子会社化」されることになったんだ。

「連結子会社」と「完全子会社」、似てるようで違うわけさ〜。
連結子会社っていうのは、親会社が株を50%以上持っていて、経営に関わるけど、残りの株は他の投資家も持ってるわけ。
でも完全子会社になると、親会社が 100%の株を保有する ようになるさ〜。
つまり、これまではイオンモールの株を持っている人がいたけど、これからは すべての株をイオンが持つことになる わけ。
これによって、イオンモールの経営方針をイオンがすべて決められるようになるわけさ〜。

孫👦：じゃあさ、公開買付け（TOB）って？

「公開買付け」ってのは、企業が他の会社の株を市場で買い集める方法のことさ〜。
普通の株式取引では、証券取引所を通じて売買するけど、TOBでは 「この価格でまとめて買いますよ！」 って条件を決めて、 投資家に直接アピールするわけさ〜。

今回のイオンモールのケースでは、イオンが 市場価格より高い価格で株を買い取る って発表したから話題になったさ〜。
これをすることで、株主が「今売ったほうが得だな」って思うようにするわけ。

孫👦：TOBの時は、株価は普通より高くなるの？

基本的に、TOBの価格は 市場価格よりも高め に設定されるさ〜。
なぜなら、企業側は投資家に「売ってほしい！」ってお願いする立場だから、 普通の市場価格より少し高めに設定して、売り手にとって魅力的な条件を作るわけさ〜。

今回のイオンディライトのTOBでは、市場価格より 15%高い価格 で買い付けると発表されたさ〜。
つまり、株主にとっては 市場で売るよりTOBで売る方が得な可能性が高い ってことさ〜。

孫👦：もしTOBで売らなかったらどうなるの？

ここが気になるポイントだよね〜。
TOBに応じなかったら、基本的には そのまま株を持ち続ける ことになるわけさ。
でも、問題は 上場が廃止された場合 なんださ〜。

例えば、イオンが 90%以上の株を取得 した場合、少数株主は 強制的に株を買い取られる（スクイーズアウト） 可能性があるわけ。
この場合、最終的にTOBと同じくらいの価格で買い取られることが多いけど、 場合によっては 少し安くなることもある から注意が必要さ〜。

孫👦：結局、TOBで売ったほうがお得ってこと？

結論としては、 市場価格よりTOBの価格が高いなら、おじいはTOBで売るのが得策 かなぁと考えるわけ〜。
特に今回みたいに 完全子会社化→上場廃止 になるケースでは、売らずに持ってても市場で売ることができなくなる可能性があるさ〜。

だから、
✅ TOB価格が市場価格より高いなら売ったほうが得
✅ 上場廃止される場合は、流動性がなくなるから売ったほうがいい
✅ TOB価格より市場価格が高くなる可能性が見込めると判断できる場合は、様子を見てもいい

こういう判断が大事なわけさ〜。
そのためには知識も経験もたくさん必要になるとおじいは思うよ。

まとめ：自分なりの考えを持つことが大事さ〜
